On January 22, the Civil and Commercial Business Department of our firm held its first learning meeting of 2021. Lawyer Yang Yulan of our firm shared a training course on "How to Control a Company with a Small Equity Stake." Lawyer Ren Yihua, director and senior partner of the Civil and Commercial Business Department, presided over the meeting and introduced and deployed the work priorities and guidelines for the Civil and Commercial Business Department in 2021.
Focusing on the training theme of "How to Control a Company with a Small Equity Stake," Lawyer Yang posed two questions to stimulate thinking: "Can holding 67% of the shares control a company?" and "Can controlling a company be achieved with zero investment?" She then shared skills and methods from three levels: the basis, modes, and methods of control for minority shareholders, emphasizing the importance of minority shareholders signing good shareholder agreements, designing good articles of association, holding good shareholder and board meetings, and establishing a multi-layered structure.
After Lawyer Yang's sharing, there was a lively discussion on how to get the industrial and commercial registration department to use the articles of association agreed upon internally by the company. Finally, Lawyer He Changming, consultant of the Civil and Commercial Business Department and senior partner of the firm, provided comments and encouragement on this sharing.
